Terms of Service

Effective 4 November 2026

These terms are between Công ty TNHH BlueKey Solutions (tax ID 0319085086, address Số 1B, đường số 30, Khu phố 27, Phường An Khánh, Thành phố Hồ Chí Minh), "we", and the business or user of BlueKey, "you". By signing up for or using BlueKey, you agree to these terms and to the Privacy Policy.

If you use BlueKey on behalf of a business, you confirm that you are authorised to bind that business to these terms. If the business has signed a separate contract with us, that contract prevails where the two differ.

1. The service

BlueKey is web and mobile software that includes:

  • An Inbox that brings together messages from Facebook Messenger, Instagram, Zalo OA and comments on a Facebook Page.
  • Management of customers, leads, funnels, deals, bookings, tasks and support tickets.
  • Writing and publishing posts to Facebook, Zalo OA, TikTok and YouTube; running and tracking Meta and TikTok ads.
  • A knowledge base, including uploaded documents and files picked from Google Drive.
  • AI employees for marketing, sales and customer care; image, voice and video generation.
  • Forms, landing pages, booking pages, recruiting, automation and reports.

Features may differ by plan or by each business's contract. We may add, change or discontinue a feature. If we discontinue a core feature you pay for, we will tell you in advance.

Some features depend on third-party platforms (Meta, Zalo, TikTok, Google). When such a platform changes its policies, limits or retires an API, the related feature may be affected in ways we do not control.

2. Accounts

  • The person who signs up and creates a business on BlueKey is that business's Owner. Owners and Managers invite other members and set their roles.
  • You must have full civil legal capacity under Vietnamese law to sign up.
  • Your sign-up information must be accurate. Keep your password secret; you are responsible for all activity under your account.
  • The business is responsible for the people it invites and the access it grants them, including API keys and AI apps it authorises.
  • Tell us at tech@ceoagent.io straight away if you suspect unauthorised use of your account.

3. Acceptable use

You must not use BlueKey to:

  • Send spam or advertising messages to people who have not agreed to receive them, or otherwise breach Vietnamese rules on advertising messages.
  • Breach the policies of connected platforms, including Meta's Platform Terms and policies, Zalo's rules for OA and ZNS, TikTok's terms, the YouTube Terms of Service and Google's policies.
  • Collect, buy, sell or process personal data without a lawful basis.
  • Post or send content that is unlawful, fraudulent, impersonates others, or infringes intellectual property or privacy rights.
  • Attack, probe or overload the system, get around technical limits, or access data that is not yours.
  • Reverse engineer or copy the software, or resell the service without a written agreement.

4. Your data and content

  • Data and content you put into BlueKey belong to you. You allow us to store, process and transmit them as needed to provide the service, as described in the Privacy Policy.
  • For customers' personal data, the business is the controller and we are the processor. The business is responsible for having a lawful basis (such as the customer's consent) to collect and use that data, including when it is sent to AI providers or synced to advertising platforms as audiences.
  • The business decides whether to turn on "Allow external AI". When it is on, the data each task needs is sent to AI providers as described in the Privacy Policy.
  • You warrant that you have the rights to the content you upload and publish.
  • We do not use your data for advertising and we do not sell it.

5. AI-generated content

  • AI employees and AI features can be wrong, incomplete or out of context. They are not a substitute for professional legal, medical or financial advice.
  • The business is responsible for reviewing AI output before it is sent to customers or published. By default, messages, posts and data changes proposed by AI go through Approvals. If the business lets an action run without approval, the business is responsible for the result.
  • AI answers only from the documents and instructions the business provides. The business keeps those documents accurate and up to date.
  • Each business has a monthly AI quota under its plan. When it is used up, AI features pause until the next month or until more quota is granted.

6. Fees

  • Prices and payment terms are set by the quote or contract between the business and us. Prices are not published on this site.
  • Fees paid are not refundable unless the contract says otherwise or the law requires it.
  • Third-party platform charges (such as ad spend on Meta and TikTok, or Zalo ZNS message fees) are paid by the business directly to that platform and are not part of BlueKey's fees.

7. Suspension and termination

  • You may stop using the service at any time, subject to your contract if you have one.
  • We may suspend or terminate an account if you breach these terms, fail to pay on time, or when a competent authority requires it. Except in an emergency or a serious breach, we will give notice and time to fix the problem.
  • After termination, you may request an export of your data within the period stated in your contract. After that, the data will be deleted, except what the law requires us to keep. Encrypted backups expire on the backup rotation.

8. Availability and support

We work to keep the service running reliably but do not promise that it will be uninterrupted or error-free. It may be unavailable during maintenance or incidents. Any uptime or support commitment is set out in the contract.

9. Limitation of liability

  • The service is provided as is, to the extent the law allows.
  • We are not liable for indirect damage, lost profits or lost business opportunities, or for damage caused by third-party platforms, by AI output the business approved or allowed to run without approval, or by your breach of these terms.
  • Our total liability to you will not exceed the fees you paid us in the 12 months before the event giving rise to liability.
  • These limits do not apply where Vietnamese law does not allow liability to be limited.

10. Indemnity

You will indemnify us for reasonable losses and costs arising from third-party claims caused by your breach of these terms, your breach of the law, or the content and data you put into the service.

11. Intellectual property

The software, the BlueKey brand and the documentation belong to us. You may use the service while your use is valid; this right cannot be transferred. If you send us feedback, we may use it to improve the service.

12. Governing law and disputes

These terms are governed by Vietnamese law. Disputes are first resolved by negotiation. If that fails within 30 days, either party may bring the dispute to the competent People's Court in Vietnam, unless the contract between the parties chooses arbitration.

13. Changes to these terms

When these terms change, we update the effective date at the top. For material changes, we notify business owners by email or in the app before the change applies. Continuing to use the service after the effective date means you accept the new version.
